Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the DropDesk dashboard and the DropDesk application for Shopify (together, the “Service”), operated by V.O.F. LMRT Commerce (“DropDesk”, “we”, “us”). By creating an account, installing the app, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

• Service: the DropDesk dashboard, app, and related features.
• User / you: the person or business that uses the Service.
• Store data: data accessed from a connected Shopify store via the Shopify Admin API.
• Shopify: Shopify Inc. and its services.

2. Account & eligibility

You must provide accurate information, be at least 18 years old and authorised to act for your business. You are responsible for keeping your login credentials confidential and for all activity under your account.

3. The Service & Shopify integration

• DropDesk provides dashboard, analytics, order-management and reporting features for connected Shopify stores.
• By connecting a store, you authorise DropDesk to access Store data through the Shopify Admin API using the scopes you approve, solely to provide the Service.
• You confirm you are the merchant or are authorised by the merchant to connect the store and grant this access.
• Your use of Shopify remains subject to Shopify’s own terms. DropDesk is not affiliated with, endorsed by, or operated by Shopify.
• DropDesk relies on the Shopify API; changes, downtime or limitations of that API may affect the Service.

4. Acceptable use

You agree not to: use the Service unlawfully; access data you are not authorised to access; interfere with or disrupt the Service; attempt to reverse engineer or circumvent security; resell or provide the Service to third parties without our consent; or use the Service to infringe others’ rights.

5. Subscriptions, fees & billing

• Paid plans are billed in advance on a recurring basis through our payment processor. Fees are stated at sign-up.
• Unless stated otherwise, fees are non-refundable except where required by law.
• We may change fees with reasonable prior notice; changes apply to the next billing period.
• You are responsible for any taxes that apply to your use of the Service.

6. Data protection

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. For Store data, DropDesk acts as a processor on behalf of the merchant and processes such data only to provide the Service and as instructed.

7. Intellectual property

The Service, including its software, design and content, is owned by DropDesk or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own data.

8. Availability & support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update features, or modify the Service. Support is provided via support@dropdesk.nl.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and accuracy of analytics or reporting. Figures shown are for informational purposes and should not be relied upon as the sole basis for financial, tax or business decisions.

10. Limitation of liability

To the maximum extent permitted by law, DropDesk shall not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold DropDesk harmless from claims arising out of your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

12. Suspension & termination

• You may stop using the Service and cancel your subscription at any time.
• We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm.
• On termination, your right to use the Service ends. We will delete or anonymise Store data as described in the Privacy Policy; uninstalling the Shopify app disconnects store access.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

14. Governing law & disputes

These Terms are governed by the laws of the Netherlands. Disputes will be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
